Welcome to the interface of Terms and Conditions for supplier self-recommendation and registration.

I. General Rules

This agreement is only used for the suppliers who intend to cooperate with Shenzhen CLOU Electronics Co., Ltd. and its affiliates (hereinafter called as CLOU) and register to become the suppliers to sign. The signing and confirmation of this agreement will be done online. Subscriber will click the button “Accept” at the bottom of this agreement, it will take effect immediately, which means that your company knows, understands and agrees to accept all the contents of this agreement, and confirms that your company will assume all legal consequences arising from it. If you choose the refusal to sign this agreement, the supplier’s registration will be terminated.

This agreement does not constitute any promise that CLOU will necessarily purchase from the subscriber. Before being certified as a formal supplier of CLOU and signing the corresponding specific purchase agreement, the two parties will not constitute any procurement cooperation relationship. CLOU does not promise to bear any liability of compensation for the signing of this agreement by the subscriber.

II Definition

1. “Subscriber”: refer to the legal persons or other organizations that fill information on the supplier self-recommendation platform and hope to register and become the supplier of CLOU.

2. “This platform”: refer to the SRM system of CLOU.

III. Contents

1. Qualification of Supplier

a. Those who intend to provide materials and equipment to CLOU or affiliates could register through this platform and become a qualified supplier after evaluation of qualification before participating in the corresponding procurement activities on this platform.

b. The supplier applicant must be an independent enterprise with legal personality registered in the authority. Any supplier that violates this agreement will be suspended or canceled its qualification. And this platform will not provide related services to suppliers whose qualifications are temporarily or permanently suspended.

2. Registration

a. After the subscriber has successfully registered, CLOU will evaluate its various qualifications or decide on its own whether to select it for formal supplier certification based on the registration information of subscriber. Passing the registration evaluation does not mean that you have become a qualified supplier. Other agreement will be used for application of qualified supplier. Your company must ensure that the above-mentioned registration information does not infringe the legitimate rights and interests of other people; otherwise your company shall assume the corresponding adverse consequences and responsibilities.

b. In order to reduce unnecessary waiting and errors in the process of use, please fill in accurate and true information during registration online, and any adverse consequences caused by false information will be borne by you.

c. This platform will evaluate all suppliers at any time based on its own independent judgment, especially when there may be violations of laws and regulations and the terms of the platform agreement. The results of the relevant evaluation may cause your account to be suspended or be canceled forever. This platform reserves the right to reject or disqualify the supplier based on its own independent judgment.

d. If the user disagrees with any of the terms of this agreement, the button “Reject” could be selected. As long as you click the “Accept” button under this agreement and successfully register as a user in accordance with the registration procedures of this platform, it indicates that you agree to sign this agreement and be bound by this agreement and subsequent released rules.

3. Account and Information of Platform

a. This platform will assign a user name for login during the registration process. The supplier account ownership belongs to Shenzhen CLOU Electronics Co., Ltd. After the supplier completes the registration application procedures and passes the evaluation, they will obtain the right to use the registration account.

b. The user must accurately provide corporate and personal files in accordance with the requirements and prompts of this platform when applying to use this platform. If any information provided is untrue, inaccurate, incomplete or does not reflect the current situation, or the platform has reasonable grounds to suspect that the information is untrue, inaccurate, incomplete, or does not reflect the current situation, the platform has the right to suspend or terminate the user’s registration and reject its use in any form at present or in the future.

c. The user is responsible for the authenticity, accuracy and timeliness of the information provided on this platform. If there is any violation of the foregoing regulations, such as the false information provided, the platform has the right to pursue the user’s responsibility for causing losses to the platform and related users in accordance with the law.

d. After the supplier’s user account is opened, the user can determine the initial password by himself. It is suggested that you change your password regularly. If the user forgets password, please follow the instructions on this platform to get the password again.

e. Since the supplier’s account and password are related to the security of the supplier’s transactions on this platform, the user shall be responsible for the confidentiality of its password, and shall be legally liable for all activities and events occurred under the user’s account and password. Without the written permission of this platform, users are not allowed to resell, grand, lend or rent their user account and passwords to any third party or use them for commercial purposes. Otherwise, all the consequences and responsibilities caused shall be borne by the user; at the same time, the platform has the right to unilaterally suspend the service. If the user discovers that anyone uses its account and password without authorization, or violates confidentiality rules, please notify the platform immediately. If someone fraudulently uses the account to quote and bid and causes losses to our company, the user shall bear the relevant compensation liability. This platform is not responsible for any loss or damage caused by the user’s failure to comply with the provisions of this agreement. If the account and password are illegally used by others due to hacking or negligence of the supplier, the losses and adverse consequences incurred shall be borne by the supplier, and the platform manager shall not bear any responsibility.

4. Confidentiality of Information

The subscriber shall keep confidential of the business secret information such as product drawing, commercial information and project information etc. obtained from CLOU, and shall not disseminate or disclose it to the outside without permission. If the subscriber leaks secrets and causes loss to CLOU, CLOU reserves the right to pursue its legal liability.

5. Disclaimer

a. The supplier clearly agrees that the risks in its use the service of this platform will be entirely borne by itself; all consequences arising from its use of this platform shall also be borne by itself; and the platform shall not bear any responsibility to the user.

b. The interruptions within a reasonable time due to the maintenance of network service such as website, mobile networks etc. or relevant devices of the platform, no responsibility will be taken by this platform, but the platform should notify as much as possible in advance.

c. For network service interruption or other defects caused by force majeure or reasons beyond the control of this platform, this platform does not assume any liability, but will try its best to reduce the losses and impacts caused to users.

d. If the contents of other websites linked to this platform cause any direct or indirect losses to the supplier, this platform is not responsible or liable for them.

6. Modification of Agreement

a. This platform has the right to modify any clause of this agreement at any time. Once the content of this agreement is changed, this platform will prompt users of the modified parts through appropriate methods.

b. If the user does not agree to the changes of relevant terms made by the platform, the user has the right to stop using the service. If the user continues to use the network service, it is deemed that the user accepts the modification made by this platform to the relevant terms of this clause.

7. Notification Delivery

a. All notices of this platform to users under this agreement can be delivered through web announcement and emails etc.; such notices are deemed to be delivered to the recipient on the day of sending.

b. Users notification to this platform shall be delivered through the correspondence address, fax number, and email address etc. officially announced by the platform.

8. Contact Method

Please contact the entity before registration, otherwise the registration information will not be processed.

9. Dispute

This agreement is bound by the laws of PRC. The parties agree and accept the agreement, and it was signed in Nanshan district of Shenzhen, Guangdong Province. If there is any dispute between two parties for this agreement, it shall be solved through friendly negotiation. If the negotiation fails, either party should and can only make a lawsuit to the court with jurisdiction in the place which the agreement was signed.

The content of this agreement should be consistent with all applicable laws. If there is any content that conflicts with the legal terms, the legal terms shall prevail, and the subscriber and CLOU shall reach an agreement on it.
